A. Definitions
In these Terms, the following definitions apply:
"Aurevex" refers to the digital asset exchange and software wallet platform accessible at aurevex.org, operated by Ethio American LLC.
"Ethio American LLC" or "Company" refers to the legal entity that owns and operates the Aurevex platform, registered with FinCEN as a Money Services Business.
"User," "you," or "your" refers to any individual who accesses, registers for, or uses the Aurevex platform or website.
"Digital Assets" or "Cryptocurrencies" refers to the digital tokens available on the Aurevex exchange, including but not limited to Bitcoin (BTC), Ethereum (ETH), USD Coin (USDC), and Litecoin (LTC).
"Services" refers collectively to the exchange functionality, software wallet custody, account management, and any other features offered through the Aurevex platform.
"KYC" means Know Your Customer procedures required under our Customer Identification Program pursuant to the USA PATRIOT Act.
B. Eligibility
To use Aurevex, you must meet all of the following eligibility requirements at the time of registration and continuously throughout your use of the platform:
You must be a natural person who is at least 18 years of age. Entities including corporations, partnerships, and trusts may not register without prior written approval from Ethio American LLC.
You must be a resident of the United States. Non-US persons are not eligible for Aurevex accounts.
You must reside in a US state where Aurevex holds applicable licensing or where no license is required for the services you seek to use. Availability by state is communicated during the registration process.
You must not be a person or entity subject to sanctions administered by the Office of Foreign Assets Control (OFAC), or otherwise prohibited from receiving US financial services.
You must not have had a prior Aurevex account terminated for violation of these Terms.
By registering, you represent and warrant that you meet all eligibility requirements. Providing false information in connection with eligibility is grounds for immediate account termination and may have legal consequences.
C. Account Registration
To access the Aurevex exchange and software wallet, you must create an account. Account creation requires providing accurate, current, and complete information including your full legal name, email address, residential address, and other information requested during registration.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Aurevex immediately at info@aurevex.org if you become aware of unauthorized access to your account.
You may not create more than one individual account. You may not create an account on behalf of another person. You may not share account access with any other person.
Aurevex reserves the right to decline account registration at its discretion without providing a reason, including where the registration would conflict with our compliance obligations.
D. Identity Verification
All Aurevex accounts are subject to mandatory identity verification before any trading or wallet services are accessible. This requirement exists because Ethio American LLC is a registered Money Services Business subject to the Customer Identification Program requirements under the USA PATRIOT Act (31 U.S.C. 5318(l)) and implementing regulations at 31 CFR 1022.210.
You must provide accurate identity information and document copies as required. Providing false or altered identity documents is a federal crime and will result in immediate account termination and referral to law enforcement where required.
Aurevex may require additional verification at any time, including re-verification if your information changes or if our compliance review indicates a need for updated documentation. Failure to provide requested verification within the timeframe specified will result in account suspension.
Identity information collected during KYC is used and retained as described in our Privacy Policy and as required by applicable law. BSA record retention requirements apply regardless of account status.
E. Exchange Services
The Aurevex exchange allows verified users to buy and sell supported digital assets against US dollars. All exchange transactions are final upon confirmation. Executed trades cannot be reversed except in cases of documented platform error.
Prices displayed on the exchange reflect real-time market data at the time of display. Prices may change between the time you initiate an order and the time it executes. By confirming an order, you accept the price at which it executes.
Aurevex does not guarantee order execution at any specific price. Market conditions, liquidity, and technical factors affect execution. Aurevex is not liable for losses resulting from price movements between order initiation and execution.
We reserve the right to suspend trading activity during periods of extreme market volatility, technical maintenance, regulatory review, or any other circumstance that in our judgment requires service interruption to protect users or the platform's compliance standing.
F. Software Wallet
The Aurevex software wallet allows verified users to hold digital assets within the Aurevex platform environment. The wallet is a software-based custody solution. This means private key management is handled within the platform's digital infrastructure, not by physical hardware under your exclusive control.
You acknowledge that software wallets carry risks distinct from hardware wallet solutions, including risks associated with platform availability and cybersecurity. Aurevex implements security measures as described in the Privacy Policy but cannot guarantee absolute security of digital assets held in the software wallet.
Digital assets held in the Aurevex software wallet are not deposits at a bank. They are not FDIC insured and are not subject to SIPC protection. In the event of Ethio American LLC's insolvency, digital assets held in the wallet may be treated as assets of the estate depending on applicable law.
G. Fees and Pricing
Aurevex charges fees for exchange transactions. The applicable fee schedule is published on the platform and shown to you before you confirm any transaction. By confirming a transaction, you agree to pay the fees disclosed at that time.
Aurevex may update its fee schedule at any time. Changes to fees will be communicated through the platform and by email to the address on your account before they take effect for existing users. Continued use of the platform after a fee change constitutes acceptance of the new fee structure.
In addition to Aurevex's exchange fees, network transaction fees (sometimes called "gas fees" for Ethereum transactions) may apply to blockchain transactions. These fees are set by the relevant blockchain network, not by Aurevex, and are disclosed before transaction confirmation.
H. Prohibited Conduct
You may not use the Aurevex platform to engage in any activity that violates applicable law, including but not limited to: money laundering, terrorist financing, tax evasion, securities fraud, wire fraud, or any activity that constitutes a crime under federal or applicable state law.
You may not attempt to access the Aurevex platform by automated means, scrape data from the platform, reverse engineer any aspect of the platform, or interfere with the platform's security measures or normal operation.
You may not use the platform to conduct transactions on behalf of any third party without prior written authorization from Ethio American LLC. Acting as an unlicensed money transmitter is a federal crime.
You may not provide false information at any point in the account creation, verification, or transaction process. Misrepresentation to a financial institution may constitute a federal crime under 18 U.S.C. 1014.
I. Risk Disclosure
Cryptocurrency involves substantial risk of loss. The value of digital assets is highly volatile and can decline significantly and rapidly. You may lose some or all of the funds you invest in digital assets. Do not invest funds you cannot afford to lose.
Digital assets are not legal tender and are not backed by any government. They are not FDIC insured. They are not bank guaranteed. Past performance of any digital asset is not indicative of future results.
Regulatory treatment of digital assets in the United States is evolving. Changes in law or regulation may adversely affect the value, transferability, or legality of digital assets. Aurevex cannot predict or control regulatory changes.
By using Aurevex, you confirm that you have read and understood this risk disclosure and that you accept the risks associated with digital asset trading and custody.
J. No Investment Advice
Nothing on the Aurevex platform, website, or in any communication from Ethio American LLC constitutes investment advice, financial advice, trading advice, or any other form of professional financial guidance. Aurevex is an exchange and custody platform, not a registered investment advisor or broker-dealer.
All trading decisions are your own. Aurevex does not recommend specific assets, trading strategies, or timing of transactions. You should consult qualified financial, legal, and tax professionals before making any investment decisions.
K. Limitation of Liability
To the maximum extent permitted by applicable law, Ethio American LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Aurevex platform, including losses resulting from market movements, unauthorized account access, platform unavailability, or regulatory actions affecting digital assets.
Our total liability to you for any claim arising out of or relating to these Terms or your use of the platform shall not exceed the fees you paid to Aurevex in the 90 days preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.
L. Account Suspension and Termination
Aurevex may suspend or terminate your account at any time, with or without notice, for any of the following reasons: violation of these Terms; failure to complete or maintain identity verification requirements; suspicious or potentially fraudulent account activity; a regulatory requirement or legal obligation; or any other conduct that in our judgment creates legal, compliance, or security risk to the platform or other users.
Upon termination, you lose access to the platform. Digital assets held in your wallet at the time of termination will be handled in accordance with applicable law and our compliance obligations. We will communicate with you regarding asset disposition to the extent legally permitted.
You may close your account at any time by contacting us at info@aurevex.org. Account closure does not eliminate any obligations you have under these Terms or applicable law, and our data retention obligations continue after account closure.
M. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Federal law, including the Bank Secrecy Act, USA PATRIOT Act, and applicable FinCEN regulations, also governs aspects of the services provided through the platform.
N. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Aurevex platform that cannot be resolved informally shall be submitted to binding arbitration in Dallas County, Texas, under the rules of the American Arbitration Association. You and Aurevex each waive the right to a jury trial and the right to participate in a class action proceeding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute.
To initiate informal dispute resolution, contact us at info@aurevex.org with a description of your dispute. We will make a good faith effort to resolve disputes informally within 30 days before arbitration is initiated.
O. Modifications to Terms
Ethio American LLC reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date and notify you by email at the address associated with your account. Your continued use of the platform after the effective date of any modification constitutes acceptance of the revised Terms. If you do not agree to a modification, you must stop using the platform and close your account.
